When a company issues shares, pays dividends, or processes a transfer between shareholders, there is usually an entity working quietly in the background making sure the records match and the paperwork holds up. That is a Registrar and Share Transfer Agent, often shortened to RTA, and you can't set up one without getting the go-ahead from SEBI first. There are two types of registrations. SEBI does not give a blanket license here.

There are two types of registration depending on the type of work you want to do:

  1. Category I—allowed to act as a registrar to an issue and share with the transfer agent
  2. Category II—permitted to act as registrar to an issue or a share transfer

Who Does This Cover

This registration is for any entity, usually a company, that wants to offer registrar or share transfer services to listed or unlisted companies dealing with public issues, rights issues, dividend processing, or the day-to-day maintenance of shareholder records. It is a different license than being a depository participant or stockbroker, and the two should not be confused.

What You Should Know Before Applying

Before filing anything with SEBI, a few things need to be in place:

  1. Office infrastructure with sufficient data storage, backup systems, and secure record-keeping capability
  2. Team of experienced and qualified personnel with knowledge of corporate actions and shareholder record keeping
  3. Minimum net worth as prescribed for the category applied, supported by a certificate from a practicing-chartered accountant
  4. Directors and key people who are fit and proper as per SEBI’s criteria and do not have any regulatory defaults or conviction in their past

Required Documents

The application is filed in Form A with the company's memorandum and articles of association, net worth certificate, details of infrastructure and manpower, background and experience of directors and promoters, PAN and GST details, and a board resolution authorizing the application.

The Process Step by Step

The application in Form A, together with the applicable fee, is made to SEBI. The review process involves SEBI assessing the infrastructure, financial position, and background of the applicant and may pose queries or seek clarification. Once satisfied, SEBI issues the certificate of registration, and the entity can start operations as a registered RTA, subject to continuing compliance and periodic reporting obligations.

Beyond the obvious point of operating legally, RTA registration also offers a real business line within the capital markets ecosystem. Issuer companies, in particular those that are contemplating an IPO or that have a large shareholder base, actively seek out registered RTAs that they can trust.
