Operational Window: April 15, 2026, to July 15, 2026.

Major Fee Waivers- 90% Waiver: Companies can file overdue Annual Returns and Financial Statements by paying only 10% of the normal additional fees.

Exit/Dormancy Relief: Companies can apply for "Dormant" status at 50% of the normal fee or "Strike-off" at only 25% of the usual cost.

Immunity: Successful filers receive immunity from prosecution related to those specific delays, provided no prior adjudication order has been passed.

Restructuring of Regional Offices

To handle the growing corporate volume, the MCA has established new offices effective February 16, 2026:

  1. New Regional Directorates (RDs): Three new RDs have been operationalized in Chandigarh, Navi Mumbai, and Bengaluru.
  2. New Registrar of Companies (ROCs): Six additional ROC offices are now functional in Delhi, Mumbai, Kolkata, Noida, Nagpur, and Chandigarh.

To exempt more businesses from complex audit requirements (like dematerialization of shares), the thresholds for a Small Company have been increased:
